Below is a summary of each of those opportunities and their respective responsibilities.

 

BOARD OF DIRECTORS

The Chapter Board of Directors consists of the President, President Elect, Vice-President, Secretary, Treasurer, Immediate Past President, and four Directors At Large. The Board meets the third Tuesday of each month to review the business of the Chapter. Committee chairpersons are also invited to attend as non-voting members and share the activities of their respective committees.

For our Chapter to achieve its greatest success, teamwork and flexibility are imperative. The roles and responsibilities of our Board of Directors and committee chairpersons are listed below as a guideline and are adjusted as necessary.

 

PRESIDENT

The President is the highest official in the Chapter, the chairperson and a voting member of the Board of Directors. In addition the President shall:

  • Preside at all meetings of the Board of Directors and at all regular monthly meetings of the membership and introduces speakers at monthly luncheons

  • Appoint the chairpersons of Standing Committees

  • Form special committees as required

  • Approve all committee members

  • Plan and supervise meetings and activities of the Chapter

  • Review the performance of all committees

  • Represent the Chapter at regional and national meetings for the purpose of maintaining the necessary relationship with ALA

  • Sign all official reports, documents and papers of the Chapter

  • Be responsible for approving the meeting place of monthly meetings

  • Arrange the annual crossover meeting

  • Perform such other duties as are usually attached to the office of the President

  • Fill any vacant position of the Board of Directors by appointment

  • Prepare Board meeting agenda

  • Maintain the Master Calendar

  • Serve as a member of the Business Partner Program

  • Attend the Local, Regional, CLI and Annual Conferences

 

PRESIDENT-ELECT

The President-Elect will become President of the Chapter at the completion of the current President’s term. The President-Elect is a member of the Board of Directors and has a primary responsibility to assist the President in fulfilling his or her duties and to act in the place of the President when the President is unable to do so. This position is a voting member of the Board of Directors. In addition, he or she shall:

  • Attend meetings of the Board of Directors and regular monthly meetings of the Chapter

  • Prepare to assume the position of President the following year in such a way that the continuity of the Chapter will be maintained

  • Represent, with the President, the Chapter at regional and national meetings for the purpose of maintaining the necessary relationship with ALA

  • Serve as Chairperson on the Business Partner Program Committee

  • Perform other specific duties as assigned by the President

  • Attend the Local, Regional, CLI and National Conferences

 

VICE-PRESIDENT

The Vice-President assists the President in the leadership of the Chapter. The position is a voting member of the Board of Directors. In addition, he or she shall:

  • Attend meetings of the Board of Directors and regular monthly meetings of the Chapter

  • Serve as member of the Business Partnering Committee

  • Plan the annual Leadership Event

  • Perform other specific duties as assigned by the President

  • Attends the Local, Regional, CLI and National Conference

 

SECRETARY 

The Secretary is responsible for creating, maintaining and distributing meeting minutes of the Chapter. The position is a voting member of the Board of Directors. The Secretary shall also:

  • Attend meetings of the Board of Directors and regular monthly meetings of the Chapter.

  • Prepare the minutes of the Board of Directors

  • Prepare and send Board meeting notice to Committee Chairs and Board of Directors at least ten (10) days before the meeting, attaching agenda and prior meeting minutes

  • Prepare and keep on file all Chapter correspondence

  • Provide original copies of all recorded minutes and attachments to the statutory agents

  • Provide refreshments at Board meetings and submit receipts for reimbursement

  • Perform other specific duties as assigned by the President

 

TREASURER  

The Treasurer is responsible for maintaining and reporting accurate financial records of the Chapter. The position is a voting member of the Board of Directors. The Treasurer shall also:

  • Attend meetings of the Board of Directors and regular monthly meetings of the Chapter

  • Render bills to all members for annual dues

  • Reconcile bank account

  • Prepare checks for payment of bills and submit to President for signature in a timely manner

  • Prepare Treasurer’s report for regular meetings and make financial information available at the President’s request

  • Coordinate the preparation of the Chapter tax return with a non-member CPA approved by the Board of Directors

  • Collect amounts from members for any special affairs

  • The Treasurer shall receive copies of applications from Membership Recruitment for purpose of financial records

  • Coordinate accurate membership records with Membership Retention Chair

  • Perform other specific duties as assigned by the President

 

IMMEDIATE PAST PRESIDENT

The Immediate Past President is an adviser to the President and the Board of Directors. The position is a voting member of the Board of Directors. The Immediate Past President shall also:

  • Attend all meetings of the Board of Directors and all regular meetings of the membership

  • Serve as Chair of the Nominating Committee

  • Serve as ex-officio member of the Education and Program Committee

  • Serve as the Educational Conference and Business Partner Exposition Coordinator

  • Serve as the Chapter’s Bar Liaison

  • Serve as the Region 6 Liaison

  • Perform other specific duties as assigned by the President

 

DIRECTORS-AT-LARGE 

Directors At Large assist with various projects and serve on committees of the Chapter. There shall be no less than two and no more than four Directors At Large elected by the membership. The position is a voting member of the Board of Directors. The Director At Large shall also:

  • Attend all meetings of the Board of Directors and all regular meetings of the membership

  • Serve on the Nominating Committee

  • Assist the Business Partner Program Chairperson at the annual Educational Conference as directed

  • Perform other specific duties as assigned by the President

 

STANDING COMMITTEES

 

Bar Liaison

This position serves as our Chapter’s liaison with the Arizona State Bar Association and county bar associations with a goal of building lasting relationships through joint programs and event partnership.

 

Business Partner Program (“BPP”)

The position reports to the Board of Directors and assisted by the Members-at-Large.  Duties include:

  • Prepare and send regular communications to business partners on opportunities for Business Partnering with the Chapter

  • Ensure that the Chapter is in compliance with ALA’s “Chapter Benefits Program Policy”

  • In September, review and revise Business Partner Sponsorship Packages, including recommendations for price increases/decreases, and circulation of same to Business Partners in October

  • Market and sell Business Partner Program sponsorships

  • Perform other specific duties as assigned by the President 

  • Responsible for organizing and implementing plans for the annual Business of Law Conference held in August

  • Work with Education Committee on selecting and vetting speakers for the Business of Law Conference, including but not limited to preparation of materials and outlines

  • Coordinate with venue food and beverage needs, space requirements, audio/visual needs, parking, insurance, loading/unloading, signage and security

  • Coordinate promotion of the Business of Law Conference with the Chapter's Communications Committee

  • Prepare follow up survey immediately following the event to both members and Business Partners

  • Prepare recap following the Business of Law Conference to be forwarded to Region 6 liaison, as well as publication in Newsletter

 

Community Connection

This position develops the community service project that our Chapter supports in October of each year.  Duties include:

  • Selecting a local charity

  • Coordinating an event that allows Chapter members, their firms, business partners, and other members of the community to participate

  • Design and distribute all announcements, invitations, press releases, etc. for the event

  • Submit a written description prior to and following the event to headquarters

  • Prepare an article for the newsletter after  the event summarizing what it was and how it went

  • Prepare and submit annual budget

  • Perform other specific duties as assigned by the President

 

Diversity & Inclusion

The Committee is dedicated to providing resources to lead and increase diversity and inclusion in our Chapter, in the legal management community and in all legal service organizations. The Committee is charged with providing guidance, education, and resources to members in support of the ALA Diversity Initiative. Duties may include:

  • Ensuring that the Chapter follows the ALA Diversity & Inclusion Scorecard to help benchmark progress and establish best practices

  • Networking within the legal community (i.e., NALS, ILTA, LMA, APA, and the Arizona State Bar) to coordinate diversity and inclusion efforts

  • Coordinating an event that allows Chapter members, their firms, business partners, and other members of the community to participate

  • Prepare an article for the Chapter’s newsletter summarizing events and initiatives

  • Perform other specific duties as assigned by the President

 

Communications  

* Social Media

The position reports to the Board of Directors and is responsible for creating and maintaining the Chapter’s online network. Duties include:

  • Develop and maintain media content across social media platforms

  • Ensure a cohesive social media identity

  • Create and maintain relevant social media accounts (Facebook, Twitter, Instagram, YouTube, LinkedIn, etc.)

  • Closely monitor social media trends and create engaging content

 

* Newsletter

The position reports to the Board of Directors. Duties include:

  • Creation of the Chapter’s quarterly electronic newsletter

  • Follow up with Chapter Chairpersons for materials for the newsletter

  • Forwarding the electronic newsletter to the Communications coordinator for distribution to the Chapter

  • Ensuring that the quarterly newsletter is received by the Website Chairperson and added to the Chapter website

  • Forwarding the electronic newsletter to the Region 6 representative     

 

* Photography

  • Photograph all Chapter events

  • Send photos to the website chairperson for adding to the Chapter website

  • Send photos to the newsletter chairperson for inclusion in the Chapter newsletter

  • Send photos to headquarters

 

* Graphics & Art

Prepare and finalize chapter brochures and notices on an as-needed basis. These include, but are not limited to:

  • The annual Board of Director nomination list

  • The Education and Business Partner Program

  • The Education and Business Partner Expo registration form

  • Requested “Save the Date” forms throughout the year

  • Luncheon program notices, as requested

 

* Website

Maintenance of the ALA website with current events, announcements, articles, job postings, business partner advertisements, and all other information as follows:

  • Maintain and update Business Partner Sponsorships

  • Maintain and update the Business Partner of the Month program, including articles

  • Upload event photos

  • Update monthly the membership directory for Business Partners

  • Maintain and update Calendar of Events

  • Post quarterly newsletters to the website

  • Post monthly Financial Statements and Board Meeting Minutes

  • Update Chapter Programs as events are scheduled

  • Maintain and update Career Center job listings

  • Create logins for new members/deactivate non-members

  • General maintenance of website platform and applications installed

  • Update all other information as directed by the Board

 

Meeting Coordinator 

This position reports to the Board of Directors. Duties include:

  • Work with luncheon venue to reserve space for monthly events

  • Create and maintain event name tags for guests, speakers and sponsors

  • Prepare sign in sheet for attendees

  • Distribute raffle tickets at Monthly Education Lunches and Special Events

  • Maintain record of members’ attendance at Monthly Education Lunches and Special Events

  • Send attendance list for each event to Treasurer and  Communications Chair

 

Membership

This position serves as our Chapter’s liaison with potential members by providing them with information about our Chapter and ALA. Duties include:

  • Send membership information to new firms

  • Send membership information to new administrators

  • Send letters to past members who do not renew their memberships

  • Perform other specific duties as assigned by the President

 

Nominating Committee 

The Nominating Committee shall be composed of seven (7) members: four Directors At Large, the current President, the President-Elect and the immediate Past President, who shall serve as Chair. If the immediate Past President is no longer an active member, the President shall appoint an additional person to the Committee. If there are only three Directors At Large, one (1) member can be appointed by the Board of Directors. All members of the Nominating Committee must have been a member of the Chapter for a minimum of one (1) year.

 

Education

The position reports to the Board of Directors. Duties include:

  • Responsible for determining topics and arranging speakers for the program segment of the regular monthly meetings, programs/seminars and the annual Educational Conference of the Chapter

  • The Program Committee Chair(s) shall schedule and attend, at a minimum, quarterly meetings for the committee

  • All members of the Committee shall attend all meetings of the Program Committee

  • Committee members will carry out duties as assigned by the Committee Chairperson

  • Communicate with the Meeting Coordinator the speakers’ audio/visual needs

  • Write confirming and thank you letters to speakers

  • Communicate names of speakers and speakers’ presentations to President for inclusion on the Master Calendar

  • When possible, obtain written article from the speaker for publication in the Chapter newsletter.

  • Prepare and submit annual budget

  • Perform other specific duties as assigned by the President

 

Region 6 Liaison 

This position serves as our Chapter’s liaison with the Region Committee and submits education surveys to Regional. 

 

Standing Committee on Information and Finance 

This position is an appointed position and is held until the chair wishes to withdraw. 

  • Maintains the chapter’s corporate documents each year and files all necessary documents with the Arizona Corporation Commission

  • Attends the annual chapter financial audit

  • Files the chapter’s annual Federal tax return

  • Files the monthly sales tax returns with the City of Phoenix and Arizona Department of Revenue

  • Maintains the chapter PO Box address and deposits all checks received at that address
